Purpose: To state the official name, authority, and general powers and duties of the District Board of Trustees.

District Board as Corporate Body

"The District Board of Trustees of Santa Fe College, Florida," as officially named by statute, is a body corporate and is a member of the Florida College System.

College as Political Subdivision

Santa Fe College, constituted as a political subdivision of the State of Florida, is governed by the District Board of Trustees as provided by law.  The service district encompasses Alachua and Bradford counties, Florida.

Powers and Duties

The District Board of Trustees, acting as a board, shall exercise all powers and perform all duties according to applicable laws and regulations.

There shall be a clear differentiation between the policy-making role of the District Board of Trustees and the management role of the President.  The District Board of Trustees, which has been granted rule-making authority for the College, is responsible for developing strategic, governing policies to which all other policies and procedures must conform.  The President shall have responsibility for the operation of the College and for implementing Board rules, including adopting College-wide procedures.  Others who are responsible for administering the College shall perform their responsibilities under the direction of the President and in accordance with specific tactical operating plans and procedures, including internal management memoranda.

The board chair, or vice chair in the chair’s absence, is authorized to execute the documents, contracts, and change orders requiring board approval during the periods between regularly scheduled meetings of the board, which actions if delayed until the next  Rule 1.1 regularly scheduled meeting would create operational or financial difficulties for the college.  The president shall indicate in writing the reason that a requested document should be executed prior to the next regularly scheduled board meeting.  The president will provide this information to the full board for ratification at the next regularly scheduled board meeting, at which time the board may take any action that would not adversely affect any third party’s rights.

Policies adopted by the District Board of Trustees shall be subject to regular and continuous review for relevance, accuracy, and clarity.
